1. INTRODUCTION

1.1 These terms and conditions govern the sale and purchase of products through our website.
1.2 You will be asked to confirm your agreement to these terms and conditions before placing an order on our website.
1.3 This document does not affect any statutory rights you may have as a consumer (such as rights under the Consumer Contracts Regulations 2013 or the Consumer Rights Act 2015).

2. INTERPRETATION

2.1 In these terms and conditions:
(a) “we” means Gumione Ltd.; and
(b) “you” means our customer or prospective customer. “us,” “our,” and “your” should be construed accordingly.

3. ORDER PROCESS

3.1 The advertising of products on our website is an “invitation to treat” and not a contractual offer.
3.2 No contract will come into force between you and us unless and until we accept your order following the process set out in this Section 3.
3.3 To enter into a contract to purchase products through our website: you must add products to your cart, proceed to checkout, and either create an account or log in. You must confirm your delivery details, payment details, and consent to these terms. You will then be redirected to our payment provider. Once payment is received, we will send an initial acknowledgement, followed by either an order confirmation (making the contract binding) or notification that we cannot fulfill your order.
3.4 You will have the opportunity to review and correct input errors during checkout. You may also contact us before dispatch if any corrections are required.

4. PRODUCTS

4.1 The types of products available on our website may include, but are not limited to, nutritional supplements and related items.
4.2 We may update our product range from time to time and do not guarantee ongoing supply of any specific product.

5. PRICES

5.1 Prices are displayed on our website.
5.2 Prices may change periodically but will not affect existing confirmed orders.
5.3 All prices stated include VAT (where applicable).
5.4 Errors in pricing may occur. We will verify prices during the sale process and confirm before a binding contract is formed.
5.5 Delivery charges will apply in addition to product prices and will be confirmed prior to contract formation.

6. PAYMENTS

6.1 Payment must be made during checkout.
6.2 Payments may be made by the methods specified on our website.
6.3 If you fail to pay, we may withhold or cancel your order.
6.4 If you make an unjustified chargeback, you must reimburse us within 7 days for:
(a) the chargeback amount;
(b) any third-party expenses (bank/payment processor fees);
(c) an administration fee of PKR equivalent of GBP 25.00 (including VAT); and
(d) reasonable recovery costs (including legal and collection fees).

7. DELIVERIES

7.1 Delivery terms are set out in this Section 7 or in our delivery policy.
7.2 Products will be delivered to the address specified at checkout.
7.3 We will use reasonable efforts to deliver within the stated timeframe but cannot guarantee exact delivery dates.
7.4 All deliveries will be dispatched within 30 days of payment and order confirmation, unless exceptional circumstances apply.
7.5 We deliver to addresses in Pakistan and may consider international delivery on request.

8. DISTANCE CONTRACTS: CANCELLATION RIGHT

8.1 This Section applies only if you contract with us as a consumer.
8.2 You may cancel your order within 14 days of receiving the products.
8.3 To cancel, you must notify us by a clear statement (email, contact form, or cancellation form provided).
8.4 If you cancel, you must return the products to us within 14 days at your own cost.
8.5 If returned goods are diminished in value due to your handling beyond what is necessary, we may deduct the reduced value from your refund.
8.6 Refunds will be made within 14 days after receipt of returned goods, using the same payment method, unless agreed otherwise.
8.7 Exceptions apply: certain goods (e.g., sealed items unsealed by you, perishable items, custom-made or personalized goods, and hygiene-sensitive products) cannot be returned.

9. WARRANTIES AND REPRESENTATIONS

9.1 You warrant that:
(a) you are legally capable of entering into contracts;
(b) you have authority to agree to these terms;
(c) information you provide is accurate; and
(d) you can accept delivery as per our policies.

9.2 We warrant that:
(a) we have the right to sell products;
(b) products are sold free of encumbrance;
(c) you will have quiet possession of purchased products;
(d) products match descriptions on our website; and
(e) products will be of satisfactory quality.

9.3 Manufacturer warranties (if applicable) will be honoured directly by the manufacturer.

10. LIMITATIONS AND EXCLUSIONS OF LIABILITY

10.1 Nothing in these terms will:
(a) limit liability for death/personal injury from negligence;
(b) limit liability for fraud;
(c) limit liability not permitted by law; or
(d) exclude statutory rights.

10.2 Subject to 10.1, we are not liable for events beyond our control, or for business-related losses (profits, revenue, contracts, goodwill).
10.3 Our total liability under any contract is limited to the greater of PKR equivalent of GBP 100 or the total amount paid under that contract.

11. ORDER CANCELLATION

11.1 We may cancel your order if:
(a) you fail to pay on time; or
(b) you breach the contract.
11.2 You may cancel if we breach the contract.
11.3 We may also cancel if external events prevent fulfillment (e.g., raw material shortages, disasters, or force majeure).

12. CONSEQUENCES OF ORDER CANCELLATION

12.1 On cancellation:
(a) we will stop delivering undelivered products;
(b) you must still pay for products already delivered; and
(c) relevant sections (including 1.3, 6.4, 10, and 15–20) will survive termination.
